WFS Global LLC ("Company," "us," "we," or "our"), a Wyoming legal entity headquartered at 30 N Gould St, Sheridan, WY 82801, with Employer Identification Number (EIN) 41-3999230 ("Company"). For the purposes of personal data protection legislation, we act as the "data controller" regarding the personal data provided and processed through the website (the "Site" or "Service"). These Terms of Service (these "Terms") govern your use of the Service and are a legally binding contract between you and the Company.

By accessing or using the Service, you agree that you have read, understood, and are bound by these Terms. If you do not agree, you do not have our permission to use the Service.

ARBITRATION NOTICE: Except for certain kinds of disputes described in Section 14, you agree that disputes arising under these Terms will be resolved by binding, individual arbitration, and BY ACCEPTING THESE TERMS, YOU AND WFS GLOBAL LLC ARE EACH WAIVING THE RIGHT TO A TRIAL BY JURY OR TO PARTICIPATE IN ANY CLASS ACTION OR REPRESENTATIVE PROCEEDING.

1. OVERVIEW

1.1 The Service

The "Service" includes all aspects of the website and related subdomains or portals (whether publicly accessible or behind a login), and any features, functionality, or content provided on or through it. This may include, without limitation, any automated or AI-driven platforms, dashboards, user interfaces, or API endpoints, and any materials or communications you receive from WFS Global LLC in connection with those services.

1.2 Additional Terms

Your use of certain features or portions of the Service may be subject to additional guidelines, terms, or rules ("Additional Terms"), which are incorporated by reference into these Terms. If there is any conflict between these Terms and any Additional Terms, the Additional Terms will control unless they explicitly state otherwise.

1.3 Modifications to These Terms

We reserve the right to change these Terms at any time on a going-forward basis, and we will notify you of material changes (e.g., by email or through the Service). If a revision materially modifies your rights or obligations, you may be required to accept the modified Terms to continue using the Service. Immaterial modifications are effective upon publication. By continuing to use the Service after any changes become effective, you agree to the new Terms. If you do not agree, you must discontinue your use of the Service.

2. ELIGIBILITY

By using the Service, you represent and warrant that:

You are at least 18 years old (or the age of majority in your jurisdiction) or you have the express permission of a parent or legal guardian who has read and agreed to these Terms.
You have not been previously suspended or removed from the Service.
Your registration, use of the Service, and these Terms comply with all applicable laws, rules, and regulations.
If you are using the Service on behalf of a company or organization, you have the authority to bind that entity and its affiliates to these Terms, and the term "you" or "your" shall refer to that entity (collectively with you).

3. ACCOUNTS & REGISTRATION

3.1 Account Creation

You may be required to create an account to access certain features of the Service. You agree to: (a) provide accurate and current information; (b) keep such information updated; and (c) maintain the confidentiality of your login credentials. You are responsible for all activity that occurs under your account, whether authorized by you or not. Notify us immediately if you suspect unauthorized use.

3.2 Account Types

We may offer different subscription plans or account types, such as free trial accounts, paid business accounts, agency or white-label accounts, or other specialized access ("Paid Plans"). Any additional or different terms applicable to a specific plan will be set forth in the Additional Terms for that plan.

3.3 Suspension/Termination of Account

We reserve the right to suspend, restrict, or terminate your account or access to the Service at any time, for any or no reason, with or without notice. Reasons may include, but are not limited to, violation of these Terms, non-payment for paid services, suspicious or unlawful account activity, or general security concerns.

4. LICENSES AND INTELLECTUAL PROPERTY

4.1 Limited License

Subject to your compliance with these Terms (and any Additional Terms), WFS Global LLC grants you a limited, revocable, non-exclusive, non-transferable, and non-sublicensable license to access and use the Service for your internal purposes, including business use, strictly in accordance with the Service's documentation and features.

4.2 Restrictions

You will not, except as expressly permitted under applicable law or by these Terms:

(a) Copy, distribute, publicly display, or publicly perform any part of the Service.

(b) Modify, adapt, translate, or create derivative works of any part of the Service.

(c) Decompile, reverse-engineer, disassemble, or otherwise attempt to derive the source code of any software used to provide the Service.

(d) Use the Service for any illegal or unauthorized purpose, or in violation of any local, state, national, or international law or regulation.

(e) Bypass or breach any security device or protection used by the Service.

(f) Sell, rent, license, or otherwise transfer access to the Service to a third party without our prior written consent.

4.3 Feedback

If you choose to provide any suggestions or feedback ("Feedback"), you agree that WFS Global LLC shall have an unrestricted, worldwide, irrevocable, perpetual, sub-licensable, and royalty-free right to use or incorporate such Feedback without any obligation to you.

4.4 Ownership; Proprietary Rights

All right, title, and interest in and to the Service, including any software, code, content, and other materials therein, is owned by WFS Global LLC or its licensors.

5. THE PLATFORM FUNCTIONALITY

5.1 Platform Use

The Service may include access to specialized tools for automated processes or communications. You acknowledge and agree that:

Use at Your Own Risk: Communications facilitated by the Service may experience disruptions. You assume all risk.
Compliance: You are solely responsible for ensuring that your use complies with all applicable laws (e.g., TCPA, TSR, and local data protection laws).
Content: You are exclusively responsible for any user-generated content you provide.

5.2 White-Label/Agency License

If your plan permits, WFS Global LLC may grant you a white-label or agency license. You must ensure your clients agree to comply with all relevant terms. You remain fully liable for any breaches by your sublicensees.

6. PAYMENT, FEES, AND BILLING

6.1 Subscription Plans and Fees

By signing up for a Paid Plan, you agree to pay all applicable fees, including all taxes and surcharges, in accordance with the billing terms in effect.

6.2 Payment Methods; Authorization

You must provide a valid payment method. You authorize WFS Global LLC to charge your payment method for the applicable fees when due.

6.3 Auto-Renewal

Paid Plans automatically renew for a term of the same length unless you cancel prior to the renewal date.

6.4 Refunds

Except as required by law, all fees are non-refundable.

6.5 Changes to Fees

WFS Global LLC reserves the right to modify fees at any time. Your continued use after a fee change constitutes agreement to the new amount.

7. COMPLIANCE; USER CONTENT

7.1 Compliance with Laws

You agree to comply with all applicable laws, including but not limited to:

Telephone Consumer Protection Act (TCPA) and Telemarketing Sales Rule (TSR).
GDPR, CCPA, or equivalent data protection regulations.

You are solely responsible for obtaining required consents and honoring opt-outs.

7.2 User Content

You represent that you own or have necessary rights to any content you upload ("User Content"). You grant WFS Global LLC a license to use, store, and display the content as necessary to provide the Service.

8. PROHIBITED USES

You agree not to violate laws, bypass security, disrupt the service, engage in fraudulent activity, or assist others in doing so.

9. INDEMNIFICATION

To the fullest extent permitted by law, you agree to defend and indemnify WFS Global LLC from claims arising out of your use of the Service, breach of these Terms, User Content, or failure to comply with laws (e.g., TCPA, GDPR).

10. DISCLAIMERS; NO WARRANTIES

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. WFS GLOBAL LLC MAKES NO REPRESENTATIONS OR WARRANTIES THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR LEGALLY COMPLIANT IF YOU HAVE NOT MET YOUR OWN OBLIGATIONS.

11. LIMITATION OF LIABILITY

TO THE FULLEST EXTENT PERMITTED BY LAW, WFS GLOBAL LLC SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, OR CONSEQUENTIAL DAMAGES. OUR AGGREGATE LIABILITY IS LIMITED TO THE GREATER OF (A) THE AMOUNTS PAID BY YOU IN THE THREE MONTHS PRIOR TO THE CLAIM, OR (B) $100 USD.

12. TERM AND TERMINATION

These Terms remain in effect until terminated. WFS Global LLC may suspend or terminate your account at any time for any reason. Upon termination, all licenses granted to you immediately cease.

13. FORCE MAJEURE

Neither party will be liable for failures caused by events beyond their reasonable control (acts of God, pandemics, power outages, etc.).

14. GOVERNING LAW & DISPUTE RESOLUTION

14.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Wyoming, United States.

14.2 Binding Arbitration

Any dispute arising out of or relating to these Terms will be resolved solely by binding, individual arbitration under the laws of Wyoming. You waive the right to a trial by jury or to participate in a class action.

14.3 Exceptions; Small Claims Court

Either party may seek injunctive relief for intellectual property infringement or bring a claim in small claims court in Sheridan, Wyoming, if applicable.

14.4 Arbitration Procedure

Arbitration will take place in the State of Wyoming. Each party shall bear its own attorneys' fees unless otherwise determined by the arbitrator.

15. PRIVACY & DATA PROTECTION

Your use of the Service is subject to WFS Global LLC's Privacy Policy. WFS Global LLC acts as the "data controller" for the personal data you provide. You agree to comply with all data protection obligations related to your contact lists and recipients.

16. GENERAL PROVISIONS

16.1 Entire Agreement

These Terms constitute the entire agreement between you and WFS Global LLC.

16.2 Assignment

You may not assign these Terms without our prior written consent.

17. ACKNOWLEDGEMENT

BY ACCESSING OR USING THE SERVICE, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THESE TERMS.
